Tutor Agreement
Effective date: August 7, 2026
This Tutor Agreement (the "Agreement") is between LearnIt LLC ("LearnIt," "we," "us") and you, the person registering as a Tutor ("Tutor," "you"). It governs your provision of tutoring through the LearnIt Platform and is incorporated into, and subject to, the LearnIt Terms of Service and Privacy Policy. If this Agreement conflicts with the Terms of Service on a tutor-specific matter, this Agreement controls. By registering as a Tutor or providing tutoring through the Platform, you agree to be bound by this Agreement.
1. Independent contractor status
You provide tutoring as an independent contractor, not as an employee, agent, partner, or representative of LearnIt. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship. You decide whether, when, how often, and to whom you offer tutoring; you control the methods, content, and materials of your lessons; you may work for others, including competitors; and you supply your own equipment and internet connection. You are not entitled to employee benefits, insurance, paid time off, or similar entitlements, and you are responsible for all costs of providing your services. This section restates (and, for Tutors specifically, reinforces) the relationship described in Section 8 of the Terms of Service.
2. Eligibility and verification
To offer tutoring, you represent that you are at least 18 years old and legally able to enter this Agreement. We may ask you to provide documents confirming claimed educational credentials (such as diplomas or certificates); LearnIt does not currently perform government-ID or biometric identity verification. We do not independently guarantee the accuracy of credentials to Students and make no representation on your behalf beyond what your profile discloses.
3. Fees, commission, and payouts
LearnIt retains a platform fee out of every Lesson payment: 50% of a trial lesson's price, and 15%of an hour package's price (you receive the remaining 85%). Your share of a Lesson becomes payable once that Lesson is confirmed completed by both you and the Student (see Section 5). Payable amounts are batched and paid out once a week, by bank transfer or PayPal — not per individual Lesson. You will be notified before any change to these fees takes effect for future Lessons. As stated in the Terms of Service, a Student's payment to LearnIt for a Lesson satisfies the Student's payment obligation to you for that Lesson — you look to LearnIt's payout process, not to the Student directly, for payment.
4. Taxes
You are solely responsible for determining, reporting, and paying all taxes on amounts you earn through the Platform. LearnIt does not withhold taxes on your behalf. You are responsible for providing accurate tax information (e.g. for IRS Form 1099-NEC reporting) to LearnIt or its payment processor.
5. Cancellations, no-shows, and lesson resolution
Your entitlement to be credited and paid for a Lesson depends on how it is resolved under our Refund and Payment Policy, including the dual-confirmation process described there. You agree to follow our cancellation and no-show rules.
6. Recording and monitoring
As described in the Terms of Service and Privacy Policy, lessons are conducted through our video provider, Daily.co, and may be recorded only if both you and the Student separately agree before the lesson starts. You will not separately record, copy, or redistribute lessons except as we expressly permit.
7. Working with minors and safeguarding
When a Student is a minor (aged 13–17, participating under a supervising parent or legal guardian), you agree to:
- keep all communication on the Platform and appropriate, professional, and lesson-related;
- not arrange private off-Platform contact, meetings, or communication channels with a minor;
- not request or collect a minor's personal contact details or personal information beyond what the Platform provides for the lesson;
- promptly report to LearnIt any safety concern involving a minor, at legal@learnit.training; and
- comply with all applicable child-safety laws.
Violation of this section is a material breach and may result in immediate termination of your account.
8. Tutor-created materials and intellectual property
You keep ownership of original teaching materials you create. By sharing them with a Student through the Platform, you grant LearnIt a limited, non-exclusive license to host, store, and make those materials available to that Student to deliver the tutoring, as described in Section 5 of the Terms of Service. We retain ownership of the LearnIt software and brand; nothing here transfers our intellectual property to you.
9. Profile, name, and likeness
As described in Section 3.5 of the Terms of Service, you grant LearnIt a license to display your profile name, photo, and introduction video to Students and in our own marketing. You may request removal of promotional uses of your introduction video by contacting support@learnit.training.
10. Confidentiality
You will treat Student information you receive through the Platform as confidential and use it only to provide tutoring. You will not disclose or misuse it, and will stop using it once it is no longer needed for the tutoring relationship.
11. No circumvention
Students you are introduced to through the Platform must be tutored, and paid, through the Platform. You agree not to solicit or accept payment from a Student off-Platform to avoid fees, and not to use the Platform to advertise or recruit for competing services. This obligation continues for 12 months after your last interaction with a Student through the Platform.
12. Reviews and ratings
Students may rate and review you, as described in Section 12 of the Terms of Service. We do not routinely pre-screen reviews but may remove content that violates our rules.
13. Suspension and termination
We may suspend or terminate your access immediately for a material breach of this Agreement or the Terms of Service — including safeguarding or non-circumvention violations, fraud, or falsified credentials — or for any other reason on notice, as described in Section 14 of the Terms of Service. You may stop tutoring and close your account at any time from your Settings page. Sections of this Agreement that by their nature should survive termination (including taxes, confidentiality, intellectual property, and no-circumvention) will survive.
14. Representations and warranties
You represent and warrant that: you are at least 18; the information and credentials you provide are true and accurate; you have the right to provide the tutoring and any materials you use; and you will comply with all applicable laws in providing your services.
15. Liability, indemnification, and disputes
The disclaimers, limitation of liability, indemnification, and dispute resolution (including arbitration) terms in Sections 18–24 of the Terms of Service apply to this Agreement and to your use of the Platform as a Tutor.
16. Changes to this Agreement
We may update this Agreement from time to time. We will post the updated version and, for material changes, give notice before it takes effect. Continuing to tutor through the Platform after the effective date means you accept the updated Agreement.
