Terms of Service

Please read these Terms of Service (the "Terms") carefully before using the LearnIt Platform and/or Services (as defined below). If you do not accept these Terms in their entirety, including the agreement to arbitrate on an individual basis any claims between you and LearnIt LLC ("LearnIt," "we," and "us"), a limited liability company organized under the laws of the State of Florida, you must not access or use the LearnIt Platform.

1. General Information

1.1. Terms of Service

These Terms describe the terms and conditions applicable to your access and use of the website located at learnit.training and its sub-domains (the "Website"), together with any related software (collectively, the "LearnIt Platform").

You understand that by creating an account on the LearnIt Platform, you enter into a legally binding contract with LearnIt and indicate your unconditional acceptance of these Terms.

These Terms, together with our Privacy Policy and Cookie Policy, are legally binding agreements governing the relationship between LearnIt and any User (as defined below) or visitor of the LearnIt Platform. As a User or visitor, the collection, use, and sharing of your personal data are subject to our Privacy Policy and Cookie Policy, as may be amended from time to time.

1.2. LearnIt Services

You may access and use the LearnIt Platform as: (a) a registered user seeking online tutoring (the "Student"); (b) a registered user providing online tutoring via the LearnIt Platform (the "Tutor"); or (c) a visitor of the Website. Throughout these Terms, "you" or "your" refers, as applicable, to the Student, the Tutor, or a visitor (each a "User").

LearnIt Services consist of access to the LearnIt Platform for Students and Tutors to connect for online tutoring, scheduling, in-platform messaging, video lessons, and customer support (the "Services"), and to pay for trial lessons and hour packages as described in Section 2.4. LearnIt does not itself provide tutoring services.

You are responsible for obtaining and paying for any equipment and internet service necessary to access the Services. We may alter, suspend, or discontinue the LearnIt Platform or the Services, in whole or in part, at any time and for any reason. You acknowledge that the LearnIt Platform is evolving and that the form and nature of the Services may change over time.

1.3. Amendments to these Terms

We reserve the right to amend these Terms at any time by posting a revised version on the Website and, for material changes, notifying you via the email address associated with your account. We encourage you to check this page regularly. If you do not agree with an amendment, you may terminate these Terms by discontinuing your use of the Services and deleting your account. Continuing to use the Services after an amendment means you accept the Terms as amended.

2. Obligations

2.1. Services Eligibility

Services are available to individuals who are 18 years and older and who can form legally binding contracts under applicable law. Individuals under 18 but not younger than 13 may use our Services only in conjunction with and under the supervision of a parent or legal guardian, who must set up and hold the account on the minor's behalf and who is at all times responsible for the minor's use of the Services. You agree and confirm that you will not allow any individual younger than 13 to use the Services.

2.2. Verification

LearnIt may request a Tutor to provide documents confirming claimed educational credentials (such as diplomas or certificates). LearnIt does not endorse or make any representations or warranties regarding the accuracy, completeness, or reliability of any information provided by a Tutor within this process, and does not currently perform government-ID or biometric identity verification, or third-party background checks. LearnIt cannot confirm that each User is who they claim to be. You agree and understand that you assume all risks when using the Services, including any risks associated with online or offline interactions with other Users. When interacting with other Users, exercise the same caution and common sense you would with anyone you don't know. Neither LearnIt nor its affiliates is responsible for the conduct, online or offline, of any User.

2.3. Privacy

When using the Services, you may be requested to provide personal data. To learn more about our privacy practices, please refer to our Privacy Policy.

2.4. Payment

A trial lesson is paid in full at booking; an hour package is paid in full at purchase and its hours drawn down as lessons are booked with that Tutor. LearnIt retains a platform fee (50% of a trial lesson's price, 15% of an hour package's price) and pays the remainder to the Tutor once the corresponding lesson is confirmed completed by both parties. Payment processing on the LearnIt Platform is provided by a third-party payment processor, Stripe, allowing us to:

  • bill the Students in lieu of directly processing your billing information;
  • enable payouts to the Tutors.

For the avoidance of doubt, payment made by the Student to LearnIt shall satisfy the Student's obligation with respect to the payment to the Tutor for the tutoring services provided via the LearnIt Platform.

2.5. Refund

LearnIt strives to ensure a clear understanding of the financial relations between Students and Tutors with respect to the Services we provide. Please check our Refund and Payment Policy to find out more about how we handle refunds. To the fullest extent permitted by law, any refunds at any time are at our sole discretion only.

3. Rights and Limits

3.1. Your Right to Use the LearnIt Platform

If you are a Student, LearnIt grants you a non-transferable, non-sublicensable, non-exclusive, limited right to access and use the LearnIt Platform solely for your non-commercial personal use. If you are a Tutor, LearnIt grants you the same limited right, solely for the provision of tutoring services to Students.

You agree not to access content or information from the LearnIt Platform by automated means (scripts, bots, spiders, crawlers, or scrapers), or to use other data-mining technology or processes to extract data from the LearnIt Platform, unless formally authorized by LearnIt in writing.

You agree not to engage Tutors to complete assignments, write papers, take quizzes, or otherwise do academic work on your behalf, and not to use the Services for any purpose that violates the academic-honesty or conduct policies of your school or institution.

No LearnIt materials made available as part of the Services may be copied, modified, republished, or distributed without LearnIt's prior written permission or as expressly provided in these Terms. You may not share or transfer your account credentials with any third party.

3.2. Your Account

To become a registered User, you must create a Student or Tutor account. You are responsible for protecting your account credentials and for all activity under your account, and agree to notify us immediately at support@learnit.training if you believe your credentials have been used without your permission.

You may not (i) create more than one account per role (one as a Tutor and one as a Student), (ii) share your account credentials with any third party, or (iii) transfer your account to any third party. LearnIt currently does not offer account creation via Google, Facebook, Apple, or any other third-party sign-in — all accounts are created directly with an email and password.

You may select a profile photo to be displayed within your Student account; this is not obligatory. When you create a Tutor account, providing a profile photo and a video introduction is obligatory. Additional profile details (country, languages, education, work experience) are optional and help you get the most out of the Services, such as finding more Students. The security of any personal data you choose to share is subject to our Privacy Policy.

3.3. Direct Interactions

LearnIt does not take part in direct interactions between Students and Tutors except when we consider it advisable to ensure compliance with these Terms or to improve our Services. LearnIt does not have control over the tutoring services provided by Tutors, any reviews provided by Students, or any User's acts or omissions.

3.4. Representations and Warranties

If you use the Services as a Tutor, you are also subject to our Tutor Agreement, which governs your provision of tutoring in more detail, including safeguarding obligations when a Student is a minor. If the Tutor Agreement conflicts with these Terms on a tutor-specific matter, the Tutor Agreement controls.

You further represent that:

  • you will provide tutoring services in accordance with these Terms;
  • you will provide tutoring services in accordance with the laws and regulations applicable in the state or country where you provide them, and are solely responsible for any violation of such laws;
  • you will provide tutoring services with reasonable care and skill and in accordance with generally recognized practices;
  • you have obtained, and will maintain the validity of, any registrations, certifications, or licenses required in the applicable jurisdiction to provide the tutoring services you offer; and
  • you will not provide tutoring services to Students outside of the LearnIt Platform, or solicit payment from a Student directly or through any channel other than those provided by LearnIt.

If you use the Services as a Student, you agree that:

  • you will honor the commitments you make to a Tutor via the Platform; and
  • you will use good-faith efforts to interact with Tutors.

3.5. Tutor Introduction Video and Profile Photo

Tutors grant LearnIt the right to display the Tutor's introduction video, name, and profile photo on the LearnIt Platform and in LearnIt's own marketing materials, to help Students find and evaluate Tutors. You may request removal of your materials from LearnIt marketing at any time by writing to support@learnit.training.

3.6. User Complaints

If a User has a complaint about the Services, they should contact LearnIt at legal@learnit.training with the subject line "Formal Complaint," providing as much detail as possible. LearnIt will confirm receipt and investigate the matter, and will respond with its findings and, where applicable, a suggested resolution.

3.7. Limits

While using the Services, you agree to abide by the conduct rules in Section 10 below.

4. LearnIt Content

Users have a personal, non-transferable, non-exclusive right to use the LearnIt Content of the LearnIt Platform subject to these Terms. "LearnIt Content" means all information, text, images, data, links, or other material created by us and accessible through the LearnIt Platform. We reserve the right to make changes to LearnIt Content without obligation to notify you. You may view, copy, download, and print LearnIt Content available on the Platform for your personal use only, provided that copyright and other proprietary notices are not removed and the Content is not modified or redistributed.

5. User-Generated Content

"User-Generated Content" means comments, feedback, text, photographs, messages, reviews, or other material that you or any User post to or through the LearnIt Platform. We are not responsible for the conduct of Users or for opinions expressed in User-Generated Content, and we do not prescreen it. You are responsible for ensuring that content you submit does not infringe the copyright, trade secret, or other intellectual-property rights of another person or entity, and you are solely liable for any harm resulting from your content. We have the right, but not the obligation, to monitor, edit, or remove User-Generated Content at any time.

Tutor materials.A Tutor retains full ownership of any original teaching materials they create (lesson plans, worksheets, presentations, and similar resources). By sharing such materials with a Student through the Platform, the Tutor allows LearnIt to facilitate the Student's access to and storage of those materials solely to support delivery of the tutoring service.

If you believe your intellectual-property rights have been infringed, please submit a complaint to legal@learnit.training.

6. Links to Third-Party Websites

The LearnIt Platform may contain links to non-LearnIt websites, provided as a convenience. LearnIt is not responsible for the content of any linked website and has no control over it. Use of any third-party website is subject to its own terms of service and privacy policy.

7. No Implied Endorsements

No reference to any third party or third-party product or service on the LearnIt Platform shall be construed as an approval or endorsement by LearnIt. As with any purchase or engagement through any medium, you are responsible for exercising caution and good judgment.

8. Relations Between LearnIt and Users

In providing the Services, LearnIt acts as an intermediary connecting Students and Tutors and providing tools to facilitate tutoring. LearnIt is a technology services provider — it does not provide tutoring services itself and does not function as a school.

LearnIt does not serve as an employer of any User. Tutors use the LearnIt Platform as independent contractors, not as employees, agents, or representatives of LearnIt. Nothing in these Terms creates an employment relationship. Each Tutor decides when and how often to be available, and controls the methods, materials, and content of the tutoring they provide. LearnIt does not withhold or remit any employment taxes on a Tutor's behalf; each Tutor is solely responsible for their own tax obligations, and, where LearnIt introduces paid lessons, for providing accurate tax information (e.g. for IRS Form 1099-NEC reporting) to LearnIt or its payment processor. No User is entitled to participate in any employee benefit plan offered by LearnIt.

Students are responsible for selecting a Tutor suitable for their learning goals, including reviewing the Tutor's self-reported credentials and any Student reviews. Each Tutor has sole discretion to accept or decline a request for tutoring, and to continue or discontinue a tutoring relationship with any Student. Tutors may perform tutoring or other work for others, including LearnIt's competitors, while these Terms are in effect, provided that doing so does not violate these Terms.

9. Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without LearnIt's written consent. These Terms bind and benefit the parties and their respective successors and permitted assigns.

10. User Conduct

You agree not to:

  • use the Platform for any unlawful purpose or in violation of these Terms;
  • harass, threaten, defame, or abuse any person, or post unlawful, obscene, or harmful content;
  • interfere with or disrupt the Platform, or attempt to gain unauthorized access to it or to other accounts;
  • use bots, scrapers, or other automated means to access or extract data without our written permission;
  • infringe anyone's intellectual-property or privacy rights; or
  • impersonate any person or misrepresent your affiliation.

We may remove content or suspend accounts that we reasonably believe violate these Terms. This section is a summary — the full list of prohibited conduct is set out in our User Code of Conduct, which you agree to abide by while using the Services.

11. Feedback

If you submit feedback, suggestions, or ideas about the Services, you agree that submission is gratuitous and unsolicited, and grant LearnIt a perpetual, worldwide, royalty-free license to use it in any way, including future improvements to the Services, without any obligation to compensate you.

12. Reviews

Students may leave reviews of Tutors. Reviews reflect the opinions of the User who posted them, not LearnIt. We do not routinely pre-screen reviews and are not legally responsible for them, but you may be held responsible for a review found to be defamatory or otherwise legally actionable. Report abuse of the review system to support@learnit.training.

13. Notifications

Unless you indicate otherwise in writing, LearnIt will communicate with you by email or by posting communications on the Platform. You consent to receive communications electronically, and agree that this satisfies any legal requirement that such communications be in writing. Keep your email address up to date in your account. Notices to LearnIt intended to have legal effect must be sent to legal@learnit.training or to 499 Kield Rd, Bunnell, FL 32100.

14. Termination

We may terminate or suspend any User's access to the LearnIt Platform, with or without prior notice, for violation of these Terms or as we deem appropriate in our sole discretion. We may also delete or restrict access to related information and files. LearnIt will not be liable to any User for any suspension, termination, or resulting loss of information. These Terms remain enforceable against you even after your access has been terminated or suspended.

15. Intellectual Property Rights

All intellectual property in the design, layout, and content of the LearnIt Platform belongs to LearnIt or its licensors. You may not copy, reproduce, or otherwise use any part of the LearnIt Platform except as expressly permitted by these Terms or with LearnIt's prior written permission. "LearnIt" and associated logos are the property of LearnIt LLC. Any other trademarks appearing on the Platform are the property of their respective owners.

16. Copyright Infringement — DMCA Notice

It is LearnIt's policy to respond to infringement notices that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe material on the Services infringes your copyright, send a notice to our DMCA agent that includes: (a) a signature of the person authorized to act for the copyright owner; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location on the Platform; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner's behalf.

Send DMCA notices to: DMCA Agent, LearnIt LLC, 499 Kield Rd, Bunnell, FL 32100, legal@learnit.training. Under federal law, knowingly misrepresenting that material is infringing may expose you to liability. LearnIt may terminate the accounts of repeat infringers.

17. Confidentiality

You may obtain access, via the Services, to confidential information of LearnIt or other Users, including personally identifiable information and other information that should reasonably be understood as confidential. You agree to hold such information in strict confidence and not use it except for the purposes set out in these Terms, and not to disclose it to any third party, except information that you can show was already known to you, is or becomes public through no fault of yours, or must be disclosed by law.

18. Disclaimer of Warranty

Use of the Services is entirely at your own risk. Any interactions, correspondence, transactions, and other dealings you have with other Users (including Students or Tutors) are solely between you and that User. Under no circumstances will we be liable for any loss or damage caused by your reliance on information available through the LearnIt Platform.

THE LEARNIT PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS," BASED IN PART ON INFORMATION PROVIDED BY TUTORS THAT IS NOT INDEPENDENTLY VERIFIED BY LEARNIT. LEARNIT DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEARNIT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. Each Student is responsible for selecting their own Tutor; LearnIt does not recommend any particular Tutor and does not warrant any Tutor's professional accreditation, registration, or license.

19. Limitation of Liability

19.1. Disclaimer

IN NO EVENT SHALL LEARNIT OR ITS AFFILIATES BE LIABLE TO ANY USER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS OR DATA) ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE LEARNIT PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2. Limitation

You agree that LearnIt's total cumulative liability in connection with these Terms or the Services, whether in contract, tort, or otherwise, shall not exceed the amounts, if any, you paid to LearnIt for the Services in the prior three months.

19.3. Waiver of Class Action

Any claim brought by you or LearnIt must be brought in that party's individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

20. Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

21. Export Control and Sanctions

U.S. law prohibits the export or re-export of certain products, services, and technical data to particular persons, territories, and foreign states. Nothing from the Services may be exported in violation of U.S. law. U.S. export-control regulations prohibit U.S. businesses, such as LearnIt, from offering services to users in specific sanctioned regions. Accordingly, users in the following areas may not access all or part of the LearnIt Platform: Iran, Sudan, Crimea, Cuba, Syria, North Korea, the temporarily occupied territories of the Donetsk and Luhansk oblasts of Ukraine, and any other country or region restricted by law (as may change from time to time). Depending on your exact location, you may encounter an access block when attempting to use the LearnIt Platform.

22. Indemnification

By using the Services, you agree to indemnify and hold harmless LearnIt and its officers, employees, and representatives from any claims, damages, and costs (including reasonable attorneys' fees) arising from a third-party claim connected to: your acts or omissions on or off the Platform; your breach of these Terms; disputes with or between other Users; your misuse of the Platform; your violation of any law; or inaccurate or misleading information you provided to LearnIt.

23. Dispute Resolution

Informal Dispute Resolution

Before initiating arbitration, you and LearnIt agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms (a "Dispute") through informal negotiations. Either party may initiate this by sending written notice to the other. Send your notice to legal@learnit.training; LearnIt will send its notice to the email address associated with your account. The notice must include your name and contact information, a description of the claim, and the relief sought. The parties will negotiate in good faith for 60 days from receipt of the notice before either party may proceed to arbitration.

Binding Arbitration

If informal resolution does not resolve the Dispute, it shall be finally resolved by individual arbitration conducted in Florida, USA, before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), conducted in English.

Individual Arbitration

Any arbitration under these Terms will be between an individual User and LearnIt. To the fullest extent permitted by applicable law, you and LearnIt waive any right to resolve disputes in court or on a class, collective, or representative basis.

Cost Allocation

The parties shall bear equally the cost of arbitration, except that (a) where the arbitrator determines that costs unique to arbitration would preclude a User from asserting a claim, the arbitrator may require LearnIt to pay a greater share; and (b) the prevailing party shall, to the extent permitted by applicable law, be entitled to an award of reasonable attorneys' fees as determined by the arbitrator.

Equitable Relief

Notwithstanding the foregoing, LearnIt may seek temporary injunctive relief from any court of competent jurisdiction in Florida to protect its rights pending arbitration.

Survival

This dispute-resolution clause survives termination of these Terms and your relationship with LearnIt.

24. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles; provided that, to the fullest extent permitted by law, the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs Section 23 (Dispute Resolution).

25. Non-Solicitation

The Services may not be used to solicit for any other business, website, or service. You may not contact Users for employment, contracting, or any purpose unrelated to tutoring facilitated through LearnIt, without our express written permission. You may not collect usernames or email addresses of Users by automated or other means without our written consent.

26. Entire Agreement; Severability

These Terms, together with any amendments and any additional agreements you enter into with LearnIt in connection with the Services, constitute the entire agreement between you and LearnIt concerning the Services. If any part of these Terms is held unlawful, void, or unenforceable, that part is severable and does not affect the validity of the remaining provisions. The headings used in these Terms are for convenience only.
